Subscription Terms
Reading note. These Terms govern paid subscriptions (Plus and Gold), billed monthly by Stripe. Refunds and withdrawal are in the Refund Policy (/legal/refund-policy); the overall contract is the Terms of Service (/legal/terms).
1. Purpose
Purpose. To set out the terms on which WiseWave Limited provides paid subscriptions and premium features on Tirvea, including plans, billing, automatic renewal, upgrades, downgrades, and cancellation. These Terms form part of your agreement with WiseWave Limited (Terms of Service, /legal/terms).
2. Scope
Purpose. To state what these Terms cover. They cover the commercial relationship for paid subscriptions. They do not cover refunds or the right of withdrawal (Refund Policy, /legal/refund-policy), how your data is processed (Privacy Policy, /legal/privacy), or the general contract (Terms of Service, /legal/terms).
3. Definitions
Purpose. To define subscription terms. Terms defined in the Terms of Service (/legal/terms) keep their meaning.
- "Plan" / "tier" - a level of service: Free, Plus, or Gold.
- "Subscription" - a recurring paid plan (Plus or Gold).
- "Billing period" - the recurring interval for which you are charged (currently one month).
- "Auto-renewal" - automatic charging for the next billing period unless cancelled.
- "Past due" - a state where a renewal payment has failed and is being retried.
4. Subscription Plans
Purpose. To describe the plans. Tirvea offers a Free plan and two paid plans, Plus and Gold. Both paid plans are billed monthly in euro (EUR). The features of each plan are described in the Service (§14) and may change (§15). Only monthly billing is currently offered; there are no annual plans. 5. Billing
Purpose. To explain how billing works. Payments and subscriptions are processed by Stripe. You purchase a subscription through Stripe Checkout, providing a payment method; your card details are held by Stripe, not by Tirvea (Privacy Policy §21, /legal/privacy). By subscribing, you authorise us and Stripe to charge your payment method for the plan you choose and its renewals. A subscription may include a trial where offered; where a trial applies, billing begins when the trial ends unless you cancel first. 6. Auto-Renewal
Purpose. To explain renewal. Paid plans renew automatically each month until cancelled. Before you subscribe, you are shown the price and that the plan renews. You can cancel at any time to stop future renewals (§11); cancellation takes effect at the end of the current billing period.
7. Pricing
Purpose. To explain pricing. The price of each paid plan is shown at checkout before you confirm, in euro. Prices may change prospectively (§15); a change does not affect a billing period you have already paid for. For a plan change, the amount due (including any proration) is shown before you confirm (§9-§10).
8. Taxes
Purpose. To explain taxes. Tax, including VAT where applicable, is calculated and collected by Stripe and shown at checkout as part of the amount due. Whether a specific tax applies depends on your location and the applicable rules. 9. Upgrades
Purpose. To explain upgrades. You can upgrade (for example, from Plus to Gold). An upgrade is an in-place change to your existing subscription, not a second subscription. Before you confirm, you are shown the amount due, including any proration for the remainder of the current billing period, and any tax. The upgraded features apply once the change takes effect.
10. Downgrades
Purpose. To explain downgrades. You can downgrade (for example, from Gold to Plus). A downgrade is also an in-place change to your existing subscription, with the amount and any proration shown before you confirm. The lower-plan features apply as the change takes effect, per the amount shown.
11. Cancellation
Purpose. To explain cancellation. You can cancel your subscription at any time. Cancellation takes effect at the end of the current billing period: you keep your plan and its features until then, and you are not charged again unless you resume. You can resume a cancelled subscription before it ends. When the subscription ends, your plan reverts to Free.
12. Failed Payments
Purpose. To explain failed payments. If a renewal payment fails, your subscription becomes past due and Stripe retries the payment during a short grace window (about 7 days), during which you keep your paid plan. If payment is not resolved within the grace window, your plan reverts to Free. You can update your payment method to restore the subscription.
13. Suspended Subscriptions
Purpose. To explain subscription suspension (distinct from account suspension). A subscription is effectively suspended while it is past due (§12) or where Stripe pauses it; during the grace window your paid features continue, and after it your plan reverts to Free. This is a billing state and is different from account suspension for policy breaches, which is governed by the Account Suspension Policy (/legal/account-suspension). If your account is suspended for a policy breach, your subscription and any refund are handled under that policy and the Refund Policy (/legal/refund-policy).
14. Premium Features
Purpose. To explain premium features. Paid plans (Plus and Gold) unlock premium features associated with each plan, as described in the Service. Premium features may be added, changed, or discontinued (§15). If your plan reverts to Free (cancellation, failed payment, or downgrade), premium features tied to a higher plan are no longer available. We do not remove features you have already paid for during a current paid period, save as permitted by law.
15. Changes
Purpose. To explain changes to plans, pricing, and features. We may add, change, or discontinue plans, prices, and premium features, and may run experimental or beta features. Price and plan changes are prospective and do not affect a billing period you have already paid for. Where required by law, we give you notice of a price change before it applies, and your statutory rights are preserved (§16). Changes are also subject to the Terms of Service (/legal/terms).
16. Consumer Rights
Purpose. To preserve your statutory rights. If you are a consumer, you have mandatory rights that these Terms do not exclude or limit, including rights relating to digital content and services, unfair contract terms, and, for distance contracts, a right of withdrawal. The right of withdrawal and refunds are set out in the Refund Policy (/legal/refund-policy) and Terms of Service §19-§22 (/legal/terms). Where any provision here conflicts with your statutory rights, your statutory rights prevail.
17. Liability
Purpose. To allocate liability. Liability arising from your subscription is governed by the limitation of liability in the Terms of Service §43 (/legal/terms), which does not exclude liability that cannot be excluded under mandatory law (including consumer law). These Terms do not create liability beyond, or reduce liability below, what that section and the law provide.
